Please see below for information about the allotment of Noble Bank S.A. shares in 2007 and admission of the shares to trading on a regulated market in 2007.

1. Share subscription or sale period:  opening date: 15 May 2007, closing date:  22 May 2007

2. Share allocation date: 24 May 2007

3. Number of shares in the subscription or sale:30 000 000 offered shares, including
a. 15 000 000 series G shares (Shares to Be Sold) and
b. 15 000 000 series H shares

4.The price for which the shares were acquired (taken): PLN 10.50 per share

5. By way of Resolution No.343/2007 of 29 May 2007, the Management Board of the Warsaw Stock Exchange decided as follows:

a) to introduce, under the standard procedure, the following ordinary bearer shares in Noble Bank S.A. with the nominal value of PLN 1 each, into trading on the official market from 30 May 2007, under ISIN code PLNOBLE00017 as issued by the National Depository for Securities (KDPW S.A.):

 a. 47 292 series A shares
 b. 18 884 series B shares
 c. 9 840 series C shares
 d. 90 646 series D shares
 e. 2 796 series E shares
 f. 8 698 series F shares
 g. 200 000 000 series G shares

b) introduce 15 000 000 rights to series H ordinary bearer shares in Noble Bank S.A. with a nominal value of PLN 1.00 each, into trading on the official market from 30 May 2007, under ISIN code PLNOBLE00025 as issued by the National Depository for Securities (KDPW S.A.);
c) to define 30 May 2007 as the first trading day for the Noble Bank shares referred to in 1 and 2 above;
d) to list shares in Noble Bank S.A. in the continuous trading system under the abbreviated name of NOBLEBANK and coded NBL; and
e) to list the rights to shares in Noble Bank S.A. as referred in b) above in the continuous trading system under the abbreviated name of NOBLEBANK-PDA and coded NBLA.
